Terms of Service
The agreement between you and Verdant Inc. governing your use of the platform. If you have questions before signing up, contact us first.

These Terms of Service (the "Terms") govern your access to and use of the Verdant reporting platform and website at verdalytiq.com (together, the "Service") operated by Verdant Inc. ("Verdant," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Agreement to terms
These Terms constitute a binding agreement between you and Verdant. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" refers to that organization.
We may update these Terms from time to time. We will notify registered account holders of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
The Service
Verdant is an AI sustainability and ESG reporting copilot. It reads the operational data you provide, such as energy bills, fleet fuel records, business travel data, and supplier spend, applies recognized GHG accounting methodologies and emission factors, and drafts a structured carbon and ESG report with the numbers, the methodology, and a cited source behind every figure. The Service is designed to reduce the time sustainability, operations, and finance teams spend on data gathering and report drafting so they can spend more time on review, judgment, and disclosure strategy.
Not certified assurance
Verdant produces draft reports to support your company's own reporting process. It is not an auditor, assurance provider, or certification body. Outputs of the Service are analytical drafts based on the operational data you supply. They are not certified, verified, or assured carbon or ESG disclosures. They do not constitute a third-party assurance opinion, a limited assurance engagement, or any form of certification under GHG Protocol, ISO 14064, or any other standard.
All draft reports, GHG inventory figures, and methodology descriptions produced by Verdant must be reviewed by qualified personnel within your organization before being filed, published, or submitted to any regulatory body, reporting framework, or public disclosure channel. Verdant links every figure to its source data and applied emission factor to make that review straightforward. The review and any decision to publish or file remain your responsibility.
Nothing in the Service constitutes legal, tax, financial, or regulatory compliance advice. If your reporting requirements demand third-party assurance, engage a qualified assurance provider separately.
Accounts
You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@verdalytiq.com if you suspect unauthorized access.
You may not share your account credentials with another person. Each seat on a Team or Enterprise plan is for one named individual. We reserve the right to suspend accounts that we reasonably believe are being shared in a way that circumvents per-seat pricing.
Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Upload or process operational data that you do not have the legal right to disclose, or that belongs to a third party without their authorization.
- Attempt to reverse-engineer, extract model weights from, or reproduce the underlying platform software or report-drafting models.
- Use the Service to build a competing product or to systematically extract data for resale without our written consent.
- Upload content that infringes the intellectual property rights of a third party or that violates applicable law.
- Interfere with the security or integrity of the Service, including by attempting unauthorized access to systems or data belonging to other users.
- Misrepresent the outputs of the Service as independently assured or certified disclosures without retaining a qualified assurance provider.
- Use automated means to access the Service at a rate that unreasonably burdens the platform without our prior written consent.
Plans and billing
We offer a Free plan that allows you to draft reports for a limited scope of operational data with no payment required. Paid plans, including Team (per-seat pricing for collaborating sustainability and finance teams) and Enterprise (custom pricing with advanced controls, dedicated support, and SSO integration), give access to higher usage limits and additional features as described on the Pricing page at the time of purchase.
Paid plans are billed in advance on a monthly or annual cycle, depending on the plan selected. Fees are non-refundable except where required by law or as stated in an order form. If you downgrade or cancel, access continues until the end of the current billing period.
We may change plan pricing with 30 days' notice to existing subscribers. Price changes do not apply to pre-paid annual terms until renewal.
Intellectual property
Your content. You own the operational data, documents, notes, and other content you upload or create in your workspace ("Customer Content"). You grant Verdant a limited, non-exclusive license to store and process Customer Content solely to provide the Service to you. We do not claim ownership of your content and we do not use it to train models.
Your reports. The draft carbon and ESG reports generated from your operational data are your output. You may use, revise, publish, and submit them subject to the "Not certified assurance" clause above. Verdant does not claim any rights in the report outputs generated for your workspace.
Our platform. Verdant owns all rights in the Service, including the platform software, report-drafting models, methodology library, user interface, and documentation. Nothing in these Terms transfers ownership of the Service to you. You receive a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription.
Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant Verdant a perpetual, royalty-free right to use that feedback without restriction or attribution.
Disclaimers
No warranty. The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or free from inaccuracies in emission factors, methodology application, or figure extraction. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Not assured. Outputs of the Service are draft reports based on the operational data you provide. They are not independently assured, certified, or verified. They may contain errors. You must review all figures, emission factors, and methodology choices against primary sources and applicable frameworks before relying on them in any external disclosure.
Emission factors and methodology. Emission factors and GHG methodology applied by Verdant are based on publicly available sources and recognized frameworks. Factors may be updated periodically as source publications change. It is your responsibility to confirm that the factors and methodology applied are appropriate for your specific reporting requirements and jurisdiction. Verdant links every applied factor to its source to make this review straightforward.
Limitation of liability
To the maximum extent permitted by applicable law, Verdant and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including losses arising from reliance on report outputs in regulatory filings, public disclosures, or investor communications, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these Terms will not exceed the fees you paid to Verdant in the 12 months before the claim arose. If you are on the Free plan, our liability is limited to $100.
Termination
You may cancel your subscription at any time from your account settings. Verdant may suspend or terminate your access immediately if you materially breach these Terms and fail to cure the breach within 7 days of written notice, or immediately for violations involving security, fraud, or applicable law.
On termination, your right to use the Service ends. Sections on intellectual property, not certified assurance, disclaimers, limitation of liability, governing law, and any accrued payment obligations survive termination.
Changes to terms
We may revise these Terms at any time. For material changes, we will notify registered account holders by email at least 14 days in advance. The current version of the Terms is always available at verdalytiq.com/terms. If you do not agree to a revised version, you may cancel before the revision takes effect.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Boulder County, Colorado. You consent to personal jurisdiction in those courts.
If any provision of these Terms is held unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
